Foundation of a Limited Liability Company (Cash Contribution)

This product is for persons who wish to set up a limited liability company (GmbH) and make the necessary contributions in cash.

• Preparation of the documents required for the foundation of the company
• Preparation of share register and preparation of declarations in accordance with Art. 790a CO (notification of beneficial owner)
• Signing of documents on site in Root or granting of power of attorney and signing by us as authorized persons
• Public notarization by our in-house notary (including payment of the notarization fees)
• Registration with the commercial register office

1. Kick-off video call 15 minutes to clarify any questions
2. Delivery of necessary information and documents from you to us
3. Preparation and compilation of the documents by us
4. Invoicing by us with advance payment by you
5. Signature and public notarization in Root or granting of power of attorney
   
   • Voting rights are transferred to another person by power of attorney, so that the shareholder does not have to take part in the notarization
6. Registration of foundation of the company with the commercial register office by us
7. Delivery of the publicly notarized documents to you by e-mail as an electronic version.

After your order, we respond within 24 hours (on working days) and then start with the implementation.

It takes about 5 working days from the order to registration with the commercial register office. After that, the commercial register office requires 7-10 days for registration.

The price does not include commercial register fees. These are approx. CHF 600 - CHF°800.

In order to create the product, we need the following information and documents from your company: Names, addresses and identification documents of all shareholders as well as confirmation of capital contribution from a bank. We will inform you of the exact procedure for founding the company during the kick-off video call.
